Terms of Service

Welcome — please read carefully

These Terms of Service (“Terms”) govern your access to and use of services provided by Kirkify (the “Service”). By accessing or using the Service you agree to these Terms. If you do not agree, do not use the Service.

1. Agreement & Eligibility

You must be at least 18 years old (or the age of majority where you live) to use the Service. By using the Service you represent and warrant that you are eligible and that you will comply with these Terms and all applicable laws.

1.1 Account

Some features require an account. You are responsible for keeping your account credentials secure and for all activity that occurs under your account. You must provide accurate information and promptly update it if it changes.

2. Service Description

The Service provides tools that enable users to generate synthetic media (images, audio, and/or video) using machine learning models. Outputs are automatically created content (“Generated Content”). You agree the Service is experimental and may produce imperfect or unexpected results.

2.1 Model Limitations

The Service relies on third-party models and datasets and may not always accurately replicate likenesses or speech. We disclaim any guarantee of accuracy.

3. Prohibited Conduct

You must not use the Service to create, publish, or distribute any content that:

  • Violates the privacy or publicity rights of any person (including creating content of persons who have not provided explicit consent).
  • Depicts sexual content involving persons who are minors (strictly prohibited).
  • Is intended to defraud, impersonate, harass, threaten, or defame an identifiable person.
  • Facilitates criminal activity or evades law enforcement (including forging identification or official documents).
  • Infringes copyrights, trademarks, trade secrets, or other intellectual property rights without permission.

We reserve the right to suspend or terminate accounts and remove Generated Content that violates these restrictions.

5. Content Policy & Moderation

We maintain content moderation and automated safety filters. Submissions and Generated Content may be reviewed, flagged, or removed. We may employ automated classifiers to detect prohibited content and enforce these Terms.

5.1 User Reporting

If you believe content violates these Terms, use our reporting mechanism (see Contact section). We will investigate and take action as appropriate.

6. Intellectual Property

All media generated, modified, or created through the Service (“Generated Content”) is the sole and exclusive property of Kirkify, including all intellectual property rights therein. By uploading any content, including images, audio, video, or likeness data (“User Content”), you irrevocably assign to Kirkify all rights, title, and interest in any resulting Generated Content, including derivative works, transformations, model outputs, embeddings, or reproductions that incorporate or are produced using your User Content.

To the extent that ownership of Generated Content cannot be automatically assigned by law, you hereby grant Kirkify an exclusive, worldwide, perpetual, irrevocable, sublicensable, and royalty-free license to use, reproduce, distribute, display, modify, create derivative works from, commercialize, and otherwise exploit the Generated Content for any purpose.

You further waive any moral rights, publicity rights, or similar rights that may limit or prevent Kirkify from full ownership and commercial use of any Generated Content.

6.1 Generated Content

Kirkify may, at its sole discretion, grant you a limited, revocable, non-transferable license to view or download Generated Content for personal use, subject to compliance with these Terms. This license does not grant you ownership, commercial rights, sublicensing rights, or redistribution rights unless explicitly stated in a separate written agreement.

6.2 Retention & Use of Uploaded Content

By uploading User Content, you grant Kirkify the following rights:

  • Process, analyze, store, and transform your content for the purpose of operating the Service.
  • Train or improve machine learning models using uploaded or generated media.
  • Retain copies of your content indefinitely.
  • Monetize or repurpose any Generated Content created using your uploads.
  • Use Generated Content without attribution, compensation, or notice to you.

You acknowledge and agree that you will not receive royalties, credit, or compensation for any content generated by or derived from the Service.

7. Payments & Refunds

Paid features, credits, or subscriptions are billed as described on the site. All fees are non-refundable except where required by law or as otherwise stated. You are responsible for taxes associated with purchases.

8. Takedown & DMCA

If you believe your rights have been infringed or that content violates law, notify us immediately at the contact address below with:

  1. Your contact information and a detailed description of the claimed infringement or violation.
  2. URLs or identifiers of the allegedly infringing content and a statement you have a good-faith belief the use is unauthorized.
  3. A statement, under penalty of perjury, that you are authorized to act on behalf of the rights holder.

We will respond promptly and may remove or disable access to disputed content.

9. Privacy

Our Privacy Policy explains how we collect, use, and share personal information. By using the Service you accept that data (including uploaded media and generated outputs) may be stored and processed as described in the Privacy Policy.

10. Disclaimers & Limitations of Liability

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT WILL WE BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE. OUR AGGREGATE LIABILITY IS LIMITED TO THE GREATER OF (A) AMOUNTS YOU PAID US IN THE PRIOR 12 MONTHS OR (B) $100.

11. Indemnity

You agree to indemnify, defend, and hold harmless Kirkify and its officers, directors, employees, and agents from any claims, liabilities, losses, damages, and expenses (including reasonable attorneys’ fees) arising from your breach of these Terms or your unlawful or prohibited use of the Service.

12. Termination

We may suspend or terminate your access for violating these Terms or for any lawful reason. Termination does not waive any right to pursue legal remedies or damages. Sections that by their nature survive termination will continue to apply (e.g., indemnity, limitation of liability).

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of New York, USA without regard to conflict-of-law rules. Any dispute arising out of or relating to these Terms will be subject to the exclusive jurisdiction of the courts located in New York, USA.

14. Changes to Terms

We may update these Terms from time to time. If material changes are made we will provide notice (e.g., email or banner). Continued use after notice constitutes acceptance of the updated Terms.
